Terms of Service

1. Acceptance

By accessing or using VendorDesk.tools (“VendorDesk”, the “Site”) and any calculator, generator or other utility made available on it (the “Tools”), you agree to these Terms of Service and to our Privacy Policy. If you do not agree, please do not use the Site.

2. The service

VendorDesk provides free, browser-based Tools that perform calculations and generate files — such as packaging die-line drawings and Bill of Supply documents — from information you enter. The Tools run on your device; VendorDesk does not receive, review or store your inputs or outputs.

3. Estimation and layout purposes only — disclaimer

The Tools are provided strictly for estimation, planning and layout purposes. Outputs are generated from formulas and rules that are reasonable defaults but that cannot account for every material, machine, converter, jurisdiction or individual circumstance. VendorDesk is not liable for manufacturing misprints, die-cutting or tooling errors, wasted materials, or for tax auditing errors, penalties, interest or any other consequence arising from the use of a document or drawing produced with the Tools.

• Packaging tools. Always produce and verify a physical mock-up and confirm allowances, bleed, creasing and glue specifications with your printer or die-maker before ordering tooling or a production run.
• Compliance and document tools. Nothing on the Site is legal, tax or accounting advice. Tax rules change and depend on your registration status, turnover and the nature of each supply. You are solely responsible for the accuracy and completeness of any document you issue, and you should confirm its suitability with a qualified professional.

4. Your responsibilities

• You are responsible for the accuracy of the information you enter and for reviewing every output before you use it.
• You must not use the Tools to create documents that are false, misleading or intended to deceive any person or authority.
• You must not attempt to disrupt the Site, scrape it at abusive rates, or reverse-engineer it to build a competing service that misrepresents its origin.

5. Intellectual property

The Site, its design, text and code are owned by VendorDesk or its licensors. Files you generate with the Tools — including SVG, PNG and PDF outputs — are yours to use for any lawful purpose, commercial or otherwise, without attribution. You may not resell the Tools themselves or present them as your own.

6. Availability and changes

We aim to keep the Site available at all times but do not guarantee uninterrupted access. We may add, change or retire Tools at any time. Because the Tools do not store your data, ensure you download any file you need at the time you create it.

7. No warranty

The Site and the Tools are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.

8. Limitation of liability

To the fullest extent permitted by law, VendorDesk and its operators shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or materials, arising out of or related to your use of the Site or the Tools. Where liability cannot be excluded, it is limited to INR 1,000 or the amount you paid to use the Tools (which is nil), whichever is greater.

9. Third-party links and advertising

The Site may contain links to third-party websites and may display third-party advertising. We are not responsible for the content, products or practices of those third parties.

10. Governing law

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of India.
